1. What ChillFile is (and isn't)

ChillFile is financial organization and tax preparation software designed to help independent creators and freelancers manage their income and deductions. The platform categorizes transactions, estimates quarterly taxes, and generates draft tax forms based on the information you provide.

ChillFile is not a licensed tax advisor, accountant, or law firm and does not provide legal or professional tax advice. Any estimates, projections, or calculations generated by ChillFile are provided for informational purposes only and should not be relied upon as professional advice. If you need professional guidance, we encourage you to consult a licensed CPA — including through our optional CPA add-on.

2. Your account

You must be at least 18 years old and legally permitted to enter contracts in your jurisdiction to create a ChillFile account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You agree to provide accurate and complete information when creating your account and to keep that information current. ChillFile reserves the right to suspend or terminate accounts where we have reason to believe information provided is false, misleading, or used to circumvent these Terms.

3. Subscription & payment

ChillFile is offered on a monthly or annual subscription basis. All fees are stated in US dollars and are charged in advance for the applicable subscription period. Subscriptions automatically renew unless you cancel at least 24 hours before the end of the current billing period.

Refunds for unused subscription time are generally not issued, except where required by applicable law or at our sole discretion in response to a documented service failure. Price changes will be communicated at least 30 days in advance and will take effect at your next renewal date.

4. CPA filing add-on

The CPA add-on connects you with an independent, licensed tax professional from ChillFile's vetted partner network. By purchasing the CPA add-on, you authorize ChillFile to share your financial data and prepared documents with your assigned CPA solely for the purpose of completing and filing your tax return.

CPAs in our network are independent contractors and not employees of ChillFile. ChillFile does not guarantee specific tax outcomes, refund amounts, or audit protection. Any engagement-specific terms will be agreed directly between you and your assigned CPA in a separate engagement letter.

The CPA add-on fee covers the cost of preparation and filing for a standard return. Returns with complex situations (multiple states, trusts, business entities) may require additional fees to be agreed upon with your CPA directly.

5. AI categorization

ChillFile uses machine learning models to automatically categorize your income and expenses. These suggestions are provided as a starting point and may not always be accurate. You are responsible for reviewing all AI-generated categorizations before submitting any tax filing.

ChillFile does not train its AI models on your personal financial data without your explicit opt-in consent. Categorization models are trained on anonymized, aggregated datasets and publicly available tax guidance. The accuracy of AI suggestions improves over time as you correct and confirm categorizations within your account.

6. Acceptable use

You agree to use ChillFile only for lawful purposes and in accordance with these Terms. You may not use ChillFile to file taxes for income that is the proceeds of criminal activity, to submit false or fraudulent information to tax authorities, or to impersonate another individual or entity.

You may not attempt to reverse engineer, scrape, or extract data from ChillFile's systems, or use automated tools to access the service in a manner that unreasonably burdens our infrastructure. Violation of these restrictions may result in immediate account termination and, where applicable, referral to law enforcement.

7. Your data

You retain full ownership of all financial data, documents, and information you upload to ChillFile. We do not claim any intellectual property rights over your data. You grant ChillFile a limited, non-exclusive license to store, process, and display your data solely for the purpose of providing the ChillFile service to you.

You can export or delete your data at any time through your account settings, subject to retention obligations described in our Privacy Policy. Upon account closure, we will provide a 90-day window to export your data before it is archived and eventually deleted in accordance with legal retention requirements.

8. Disclaimers

ChillFile is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the service will be uninterrupted, error-free, or free of viruses or other harmful components. Tax laws change frequently, and while we work to keep ChillFile current, we do not guarantee that all content reflects the most recent legal developments.

To the maximum extent permitted by applicable law, ChillFile's total liability for any claims arising out of or relating to these Terms or the service shall not exceed the fees you paid to ChillFile in the 12 months preceding the claim. In no event shall ChillFile be liable for indirect, incidental, special, or consequential damages.

9. Termination

You may cancel your ChillFile subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to the service until the period ends.

ChillFile may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or if we are required to do so by law. In the event of termination for cause, you will not receive a refund for any prepaid subscription fees. We will provide reasonable notice of termination except where immediate action is required to protect the service or other users.

10. Disputes

Any dispute arising out of or relating to these Terms or your use of ChillFile will first be addressed through informal negotiation. Please contact us at legal@chillfile.com and describe your concern; we will make a good-faith effort to resolve it within 30 days.

If informal resolution fails, disputes will be resolved through binding arbitration administered under the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction. You and ChillFile both waive the right to a jury trial and the right to participate in a class action lawsuit.

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. Any arbitration will be conducted in English and may be conducted remotely.

11. Changes

We may update these Terms of Service from time to time. When we make material changes, we will notify you by email and display a notice in the app at least 14 days before the new Terms take effect. Your continued use of ChillFile after the effective date of revised Terms constitutes your acceptance of those changes.

If you do not agree to the revised Terms, your only remedy is to discontinue use of ChillFile and cancel your subscription before the new Terms take effect. We will not retroactively apply changes to disputes that arose before the effective date of any revision.
